Welcome to the website of Adeptus Digital Ltd., which is trading as adeptus.digital ("adeptus", "adeptus.digital", "adeptus digital", "we", "us" or "our"). These Terms of Service ("Terms") govern the use of this website, www.adeptus.digital (the "Website") and also accompany any Scope of Works or Fee Proposals ("Services", "Scope", "Fees" or "Proposal") we issue.

By accessing or using the Website or engaging our Services, you agree to comply with and acknowledge that you have read, understood, and agreed to these Terms.

##### 1. Scope of services

We provide consultancy services as outlined in our proposals, contracts, or website descriptions. Our services' scope, deliverables, and timelines will be mutually agreed upon in writing before engagement.

##### 2. Client responsibilities

To enable us to provide effective services, clients must:

- Provide accurate and complete information.
- Cooperate in a timely manner.
- Adhere to agreed timelines and payment terms.

##### 3. Fees and payment

- Our proposals or contracts specify fees and must be paid in full as agreed.
- Invoices are due within 15 days unless otherwise stated.
- Late payments may incur interest at \[X\]% per month.

##### 4. Intellectual property (IP)

- We retain ownership of all intellectual property created before or during the engagement unless otherwise agreed in writing.
- Clients receive a limited, non-exclusive license to use deliverables for their intended purpose.

##### 5. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement, except where disclosure is required by law.

##### 6. Liability and disclaimers

- Our services are provided "as is" without warranties of any kind.
- We will not be liable for any indirect, consequential, or special damages from our services.
- Our total liability shall not exceed the amount paid by the client for the specific service provided.

##### 7. Termination

- Either party may terminate an engagement with \[number\] days’ written notice.
- Fees for work completed up to termination remain payable.

##### 8. Governing law and dispute resolution

- The laws of England & Wales govern these Terms.
